Purchase Agreement for Conserv II Edwards Property in Orange County


The City of Orlando and Orange County (collectively referred to as "Conserv Partners") own Water Conserv II property in western Orange County and Lake County on lands that Conserv Partners operates a reclaimed water distribution system. The City of Orlando and Orange County each own a fifty percent (50%) undivided interest in the Water Conserv II property.

Conserv Partners own approximately 15.10 gross acres (4.49 usable acres) known as the Edwards Property that is the subject of this Purchase Agreement. The Edwards Property consists of two Orange County Parcel Numbers (20-23-27-0000-00-016 & 19-23-27-0000-00-019). One parcel has an address of 6709 Avalon Road and the other parcel is not addressed. The Edwards Property is identified on attached Location Map.

After the City of Orlando conveys the Edwards Property to Orange County, Orange County will exchange the Edwards Property with SLF/IV Boyd Horizon West JV, LLC, to combine with their additional land. In the exchange, Orange County will receive an approximate 2.5 acre site lying generally along the east side of Avalon Road/CR 545 at Lake Ingram Road to construct new Orange County Fire Station #48 for Horizons West.   

The Edwards Property was independently appraised by two appraisal companies. The value of the Edwards Property was determined as an average of the two appraisals of $404,600. Orange County will pay the City of Orlando one half of the average of the two appraisals or $202,300 for the City of Orlando's fifty percent (50%) undivided interest in the Edwards Property.

Recommended Action:
Authorizing the Mayor and City Clerk to execute the Purchase Agreement in substantially the form attached hereto; Authorizing the Mayor and City Clerk to execute the City Deed in substantially the form attached hereto; and Authorizing the City's Real Estate Manager to execute any and all closing documents, and to extend any deadlines set forth in the Purchase Agreement, including the closing date; all subject to review and approval by the City Attorney's Office.
