Subject:
Third and Fourth Amendments to Escrow Extension Agreement between City, GOAA and All Aboard Florida-Operations, LLC

Summary:
The City of Orlando, "City," the Greater Orlando Aviation Authority, "GOAA", and All Aboard Florida-Operations, LLC, "AAF", entered into the Rail Line Easement Agreement on January 22, 2014, which governs the parties rights and obligations related to the development of an inter-city rail project at the Orlando International Airport.  On that same date, the parties also entered into a Premises Lease and Use Agreement and a Vehicle Maintenance Facility Ground Lease Agreement to effectuate the terms of the Rail Line Easement Agreement.  All of these Agreements are being held in escrow pursuant to the Rail Line Easement Agreement.  AAF has requested an extension of the escrow term to December 31, 2018.  This extension will be accomplished by the Third Amendment to Escrow Extension Agreement and the Fourth Amendment to Escrow Extension Agreement, attached hereto, both of which have been approved by GOAA.

Recommended Action:
Approval of the attached Third Amendment and Fourth Amendment and authorization for the Mayor or Mayor Pro Tem to execute same, subject to review and approval by the City Attorney's Office.
