License Agreement with Hebni Nutrition Consultants, Inc. for Location behind CNL I

Summary:

Hebni Nutrition Consultants, Inc. (Licensee) is a non-profit company which was established to bring fresh fruit and vegetables to urban areas where fresh produce is not easily accessible. Licensee operates “The Fresh Stop Mobile Market” out of a refitted Lynx bus and makes several stops across the county providing fresh fruit and vegetables for sale along with educational classes.  The mission of this mobile market is to educate people on the need for good nutrition in their daily lives in order to reduce the rate of chronic diseases.
  
The City wishes to promote wellness to their employees and license the area behind CNL I, between the signs marked for Media use only as identified in Exhibit A attached, to promote the sale of fresh produce.  Licensee will host the market twice monthly on the first and third Friday between the hours of 11:30 AM and 2 PM.  The City’s Real Estate Manager shall be authorized to adjust the day, time and location of the market as needed.  The License Agreement shall be for one (1) year commencing on June 1, 2015 and shall expire on May 31, 2016.  There shall be no license fee, however, Hebni Nutrition Consultants, Inc., at its own expense, shall employ a sufficient number of employees to properly conduct the market at a high standard of service, maintaining the licensed area in a clean and sanitary condition as well as provide general liability insurance coverage for the licensed area.  The License may be renewed for one (1) additional year upon mutual agreement of the parties and may also be terminated by either party upon 30 days notice.

Recommended Action:
Approval and authorization for the Mayor/Pro Tem and City Clerk to execute the License Agreement, substantially in the form attached, and approval and authorization, without further City Council approval, for the Real Estate Division Manager to execute the additional renewal options and day, time and location adjustments as referenced herein, so long as such approvals are in conformance with the terms and conditions of the License, all subject to the review and approval of the City Attorney's Office.
