| | | | | | | | | Subject: | First Amendment to the Rail Line Easement Agreement between City, GOAA and All Aboard Florida | | Summary: | City, GOAA and All Aboard Florida, Inc., "AAF", entered into a Rail Line Easement Agreement, "Easement," on January 22, 2014. AAF is developing an Inter-City Commercial Passenger Rail Project, "Rail Project," from Miami to Orlando with a northern terminus at Orlando International Airport, "OIA." The Easement provides a corridor on GOAA/City property for construction and operation of the Rail Project as well as memorializing construction, maintenance and compensation obligations between GOAA and AAF. Due to certain timing constraints, AAF has now requested that the parties amend the Easement to (i) extend the escrow term, (ii) revise and clarify particular elements of the design, construction and maintenance obligations and (iii) expand the rail line slope easement to include a drainage easement.
