| | | | | | | | Subject: | Second Amendment to Purchase and Sale Agreement between GOAA, the City of Orlando and Orlando-Orange County Expressway Authority Relating to S.R. 528 Widening | Summary: | On July 30, 2012, the Greater Orlando Aviation Authority (GOAA), the Orlando-Orange County Expressway Authority (OOCEA), and the City of Orlando (City) entered into a Purchase and Sale Agreement (PSA) in connection with the widening of SR 528 pursuant to which GOAA and the City shall sell and convey fee simple title to Parcel 101 and grant a perpetual easement to Parcel 801 and 803 to OOCEA, and OOCEA shall sell and convey title to the Conway Extension Property to the City and GOAA.
The First Amendment to the PSA, approved by City Council on 2-24-2014, removed Parcel 803 from the transaction after FDOT-required design changes resulted in Parcel 803 no longer being needed for the project.
The Federal Aviation Administration recently notified GOAA that it will not support the transfer of fee simple title to Parcel 101 to the OOCEA, but will support the grant of an easement. Therefore, the purpose of the Second Amendment is to remove the conveyance of fee simple to Parcel 101 and replace it with the grant of a perpetual easement to Parcel 101 from the City and GOAA to the OOCEA.
