Third Amendment to the Rail Line Easement Agreement between City, GOAA and All Aboard Florida

Summary:

The City, GOAA, and All Aboard Florida, "AAF," entered into a Rail Line Easement Agreement on January 22, 2014; a First Amendment on September 25, 2014 and a Second Amendment on October 30, 2015, collectively referred to as "Easement Agreement."  The Easement Agreement provides for AAF's use of certain property at the Orlando International Airport for the construction and operation of an inter-city passenger rail system.  Per its terms, the Easement Agreement is to be held in escrow pending the satisfaction of certain conditions by AAF.  AAF has requested that the escrow term be extended to December 31, 2016.  The attached Third Amendment authorizes the extension of the escrow term but also imposes additional financial conditions on AAF.  GOAA approved the attached Third Amendment at its meeting on December 9, 2015.

Recommended Action:
Approval of the Third Amendment in substantially the form attached and authorization for the Mayor or Mayor Pro Tem to execute same, subject to review and approval by the City Attorney's Office.
