First Amendment to the Premises Lease and Use Agreement between the City, GOAA and All Aboard Florida

Summary:
GOAA and All Aboard Florida, "AAF", entered into a Premises Lease and Use Agreement, "Lease", on January 22, 2014 with the City signing as a Joinder.  AAF is developing an Inter-City Commercial Passenger Rail Project, "Rail Project," from Miami to Orlando with the northern terminus at the Orlando International Airport, "OIA."  The Lease relates to AAF's construction, maintenance and operation of a rail station building within the Intermodal Transportation Facility at Orlando International Airport.  Due to certain timing constraints, AAF has requested that the parties amend the Lease to allow GOAA, at AAF's expense, to install air handlers as part of GOAA's installation of common equipment at the Intermodal Transportation Facility site.  The City will sign as a Joinder since the term of the Lease, and therefore the First Amendment, exceeds ten years.  The GOAA Board approved the First Amendment on September 10, 2014.

Recommended Action:
Approval of the Joinder attached to the First Amendment to the Premises Lease and Use Agreement and authorization for the Mayor or Mayor Pro Tem to execute same, subject to review and approval by the City Attorney's Office.
